In contrast, an entrepreneur is any natural or legal person or legally recognized partnership that, when entering into a legal transaction, acts in the course of their self-employed professional or commercial activity.

In the order confirmation, the Customer receives their order details, as well as
the GTC  -customer information and the right of withdrawal policy along with the model withdrawal form

arranged by the Customer themselves .

incl. the respective German value added tax. The value added tax is shown separately. Any additional

§ 6 - Delivery

(1) The delivery times stated for the products begin on the day following the day of the conclusion of the contract or, in the case of prepayment, the Customer's payment instruction
to their payment service provider. Delivery will take place no later than within the stated delivery time. If the last day of the delivery period falls on a Saturday, Sunday, or a state-recognized general holiday at the place of delivery,
the next business day shall take its place.

(2) In the event of delivery outside of Germany, the latest delivery time stated for the products is extended by 5 to 15 business days for deliveries within the EU member states.

(3) In sales to entrepreneurs, the risk of accidental loss and accidental deterioration passes to the Customer upon delivery of the sold item to the freight forwarder, carrier, or other person or entity designated for the execution of the shipment.

§7 - Retention of Title

(1)Until all claims arising from the contract are fulfilled, the delivered goods remain the property of the Seller.

(2) In sales to entrepreneurs, the following extended retention of title applies:

2a) In the event of the alienation of the reserved goods, the Customer hereby assigns their claim from the resale to the buyer with all ancillary rights to the Seller as security, without the need for any further special declarations. The assignment includes
any outstanding claims. However, the assignment is only valid to the extent of the amount corresponding to the price of the reserved goods
invoiced by the Seller. The Customer remains authorized to collect the
claim even after the assignment. The Seller's authority
to collect the claim itself remains unaffected. However, the Seller will not collect the claim as long as the Customer complies with their payment obligations from the proceeds received,
does not default on payment, or there is no suspension of payment.

2b) The supply and processing of the reserved goods by the Customer always takes place on behalf of and on account of the Seller. In this case, the Customer's right of expectancy in the reserved goods continues to apply to the processed or worked-on reserved goods. If the reserved goods
are processed with other goods not belonging to the Seller, the Seller acquires co-ownership of the new item in the ratio of the invoice- final amount of the reserved goods to the other processed items at the time of processing. The same
applies in the event of mixing. If the mixing occurs in such a way
that the Customer's item is to be regarded as the main item, it is
deemed agreed that the Customer regularly transfers co-ownership to the Seller
and holds the resulting sole ownership or co-ownership for
the Seller.

2c) As long as the title has not yet passed, the Customer must
immediately notify the
Seller in writing if the delivered reserved goods are seized or subject to other third-party interventions.
The Customer is obliged to provide the Seller with all information
and documents required for a third-party opposition action
pursuant to § 771 ZPO.

2d) The Seller undertakes to release the securities due to them
at the Customer's request, provided their value exceeds the claims to be secured by more than 10%.

§8 - Liability for Defects

(1) In sales to entrepreneurs, the limitation period for defects
in new goods is one year from the transfer of risk . For used goods,
rights and claims due to defects are generally excluded.
The limitation period does not start anew if replacement goods are delivered within the scope of the liability for defects.

(2) In sales of used goods to consumers, the limitation period for defect claims is one year from the delivery of the goods to the buyer. Reconditioned engines are to be regarded as used goods.

(3) For engine sales, a limitation period of one year from the transfer of risk or an operating mileage of 60,000 km applies. By contrast, for commercial engine purchases, a limitation period of one year from the transfer of risk or an operating mileage of 40,000 km applies.

(4) For entrepreneurs, the statutory limitation periods for the recourse claim pursuant to § 478 BGB remain unaffected, the same applies to entrepreneurs and consumers in the event of an intentional breach of duty and the fraudulent concealment of a defect. In sales to entrepreneurs and consumers, it also applies pursuant to the following paragraph (6) that these limitations of liability do not extend to claims for damages and compensation for expenses that the buyer can assert due to a defect.

(5) Further claims of the buyer for any legal reason whatsoever are excluded. In particular, no liability is included for damages
that did not arise from the scope of delivery itself. For lost profit, reimbursement of wages, late payment penalties or
other financial losses of the buyer.

(6) In sales to a merchant in the commercial law sense (§ 1 HGB), the commercial inspection and notification duties apply within the meaning of
§ 377 HGB. If the statutory notification duties are not fulfilled,
the goods are deemed approved.

(7) In the event of injury to life, body, or health, the Seller is fully liable on any legal basis. This also applies in cases of intent and warranty promises or if liability is required by mandatory  legal provisions.

(8) The hourly rate for warranty work  is a maximum of 67 EURO net. The regulated hourly rate serves to minimize damage
and not to optimize profit

(9) The working time is billed according to the manufacturer's specifications.

(10) The warranty claim will be sent after receipt of damage / warranty claim.
This gives Motorheld24 GmbH the repair order for the reported damage. Without a
warranty claim, no processing of the case will be started.
Incurred costs will be charged to the buyer / seller depending on the cause / outcome of the damage. If no old part is returned for inspection and damage diagnosis
at the time of purchase, any error sources cannot be documented
and consequential damage to the delivered engine due to defective auxiliary parts
cannot be excluded.

(11) In principle, the following are excluded from the warranty:
Components/vehicle parts and assembly material that the Customer has supplied externally.

(12) Transfer of costs in the event of warranty rejection:

Should the warranty be rejected, the incurred costs
for transport (freight costs for engines, 1.45 €/Km for vehicles)
as well as those for damage analysis will be passed on to the applicant.
Repairs will then only take place in consultation with the applicant.

(13) Otherwise, the statutory provisions apply.

§9 Warranty Exclusion

Damage and consequential damage that arise because external units and auxiliary parts not included in the scope of delivery,
as well as installation and maintenance,
are defective or were defective. Consequential damage that arises from continued driving
in the event of damage (without oil, insufficient or no oil pressure), coolant, overheating, wrong fuel or oils,  porous/leaking hoses are not covered by the warranty obligation.

§9.1 Warranty Exclusion
Motorsport items, sport engines, as well as components individually manufactured to the customer's specifications;
engines, engine blocks, and cylinder heads are
excluded from the warranty.

§10 Motorsport use/modifications/tuning/testing purposes
The use of third-party software or parts, subsequent manual modifications to the engine by the buyer or a third party, use for motorsport purposes (e.g., ¼ mile races, burn-outs) and such use that goes beyond average and customary use in public road traffic is at the owner's own risk and does not fall under our warranty obligation. Goods
purchased from us are not intended for use in motorsport events
of any kind. Such use beyond the average customary use on the road
is at the owner's own
risk. The same applies if the goods are modified or repaired by the buyer or a third party after receipt, or if tuning measures are carried out on the
delivered item/engine. Furthermore, it is agreed that damage or defects caused by use for testing purposes
of any kind and or by testing bench loads will be regarded without exception as intentional. In such cases, this will be borne without exception by the
buyer and the warranty claim will expire.

§11 - Old parts
(1) The buyer undertakes to return an old part when purchasing an engine.

(2) Until the old part is returned, the Customer provides the Seller with an old part deposit,
which will be refunded to the buyer after receipt of the old part.

(3) All attachments on the old part will be treated as waste and not kept.

§12 - Vehicle downtime
In the event of a delay in repair caused by the Customer, a daily flat rate of 5.00 € per day will be charged starting from the 8th calendar week.

§13 - Contract language
The contract language is German.

§14 - Final provisions

(1)The law of the Federal Republic of Germany applies.

(2) The choice of law pursuant to paragraph 1 applies to consumers within the meaning of § 1 paragraph 2 sentence 1 only to the extent that the protection provided by mandatory provisions
of the law of the state in which the consumer has their habitual residence is not deprived.

(3) The provisions of UN sales law do not apply.

(4) If the Customer is a merchant, a public law legal entity, or
public law special fund, the exclusive place of jurisdiction
for all disputes arising from this contract is the business seat of the
Seller. The same applies if the Customer has no general place of jurisdiction
in Germany or the EU, or if their residence or habitual
residence is unknown at the time of filing the lawsuit.

Dear
customer, please observe the installation instructions!

Please read the installation instructions, which are supplied with every product, carefully.

Warranty is only recognized upon written notification, accompanied by the installation
instructions signed by the buyer and stamped by the
certified automotive workshop,
in conjunction with the
installation calculation.

When purchasing an engine, the price was set based exclusively on the engine without any
ancillary components. All auxiliary devices and ancillary components are not included and are therefore excluded from any warranty claims, as are any consequential damages. To prevent any damage,
you should replace all auxiliary devices. Before installation, check the product for fit and damage.

Installation:

•Oil-lubricated or water-cooled spare parts are generally supplied without
operating fluids.
We are not liable for damage caused by missing or incorrect filling, or by filling with unsuitable operating fluids. Always check important auxiliary devices such as the battery, alternator,
carburetor/injection system (injectors, fuel injectors), preheating system, temperature and oil pressure warning system, engine ventilation system,
intake and exhaust manifolds (clean if necessary), flywheel and pulleys, turbocharger, EGR, intercooler.

• Always replace auxiliary devices, cylinder head gaskets, water pump, viscous
coupling, oil filter,
fuel filter, air filter, timing belt and tensioner pulleys /
timing chain, thermostat, spark plugs (observe manufacturer specifications
), other belts and seals.

 • The cooling system must be bled according to the manufacturer's specifications. Remember that in water-cooled
engines, the heating system and
its hoses are part of the cooling system and must also be bled.

• Replace the thermostat together with the seal.

• Set the valve clearance, carburetor/injection system and ignition according to the manufacturer's specifications before
test-running the engine.

•Check the oil and coolant levels.

•Before starting the engine: Turn the engine over without ignition until the oil pressure warning light
goes out, indicating that the lubrication system is filled. After starting, the warning light should go out within a few seconds. Set the ignition system and
carburetor/injection system
correctly and check for oil or water leaks. Do not let the
engine run
at idle for hours. Do not undercool the engine during the test run with water that is too cold,
e.g. when operating without a thermostat. During the test run,
let the engine warm up briefly at an increased
idle speed (approx. 1500 rpm) so that the piston rings and
cylinder are sufficiently supplied with lubricating oil.

•Check the valve clearance, carburetor setting or injection system and ignition again, as well as, if
necessary, the tightening of the cylinder head bolts according to the
manufacturer's specifications.

•Perform a
test drive with varying loads between ½ and ¾ of full load, and only then - but only
slowly and briefly - increase to full load. It is recommended that during the first 1000 km, the engine is
loaded only to ¾.

•For electronically controlled automatic transmissions, the
transmission control unit must be adjusted by
a specialist workshop after replacement.
